BYQ SUPPLY – TERMS & CONDITIONS

Please read these Terms & Conditions (“Terms”) carefully before using the BYQ Supply platform. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

1.1 Company / we / our / us – Marcin Chmielowski UX Design, ul. Marcina Kasprzaka 29/1042, 01-234 Warszawa, Poland (NIP/VAT PL7551941386), trading as BYQ Supply.

1.2 Platform / Service – the BYQ Supply website, dashboard and any related applications or services provided by the Company.

1.3 Sections – the pre-designed components, layouts, code snippets, graphics and any other digital assets made available through the Platform.

1.4 User / you / your – the individual or entity that registers for, accesses or uses the Service.

1.5 Client Project – any project completed on behalf of a third-party client.

2. Acceptance

2.1 By creating an account, purchasing a subscription or otherwise using the Service, you confirm that you:

a) are at least 18 years old and legally capable of entering into binding contracts; and

b) have read, understood and accept these Terms.

3. Account registration & security

3.1 You must provide accurate, current and complete information during registration and keep your account information up to date.

3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.3 You must not share, sell or transfer your account to any third party.

4. Subscription plans, payments & cancelation

4.1 The Service is offered on a recurring monthly or yearly subscription basis, with fees displayed on the Platform at the time of purchase.

4.2 All payments are processed securely via Stripe. By submitting payment information, you authorise us to charge the applicable fees.

4.3 Subscriptions renew automatically at the end of each billing cycle unless cancelled.

4.4 You may cancel at any time via your account dashboard. Cancellation stops future charges but does not trigger refunds for the current period; you will retain access until the end of the paid term.

4.5 We reserve the right to change subscription fees at any time. Price changes apply to the next billing cycle, and we will provide at least 14 days’ notice.

5. Licence & permitted uses

5.1 Upon full payment of subscription fees, we grant you a non-exclusive, non-transferable, worldwide licence to download, modify and incorporate the Sections into unlimited Client Projects, personal projects or other commercial works for end-users.

5.2 You may host or export the Sections within Webflow, Figma, Framer or other platforms solely to deliver Client Projects or live websites/applications.

5.3 Attribution to BYQ Supply is appreciated but not required.

6. Prohhibited uses

You may not:

a) resell, redistribute, sublicense or otherwise make the Sections available as standalone digital assets (paid or free) on any marketplace or platform (including, but not limited to, Webflow, Framer, Figma Community or Gumroad);

b) use the Sections to create derivative template products, UI kits, themes or any other digital goods offered for sale or free distribution;

c) share your login credentials or allow any third party to access the Service via your account; or

d) reverse-engineer, decompile or attempt to extract the source code of any part of the Service, except to the extent permitted by applicable law.

7. Intellectual property

7.1 All intellectual property rights in the Platform and the Sections remain the exclusive property of the Company and/or its licensors. You acquire no ownership rights under these Terms.

7.2 All trademarks, trade names and logos appearing on the Platform are owned by the Company or third parties and may not be used without express written consent.

8. Termination & suspension

8.1 We may suspend or terminate your access to the Service immediately, without refund, if you breach these Terms.

8.2 Upon termination, the licence granted in Section 5 ceases, and you must stop using any Sections not yet delivered to a Client Project.

9. Changes to the service

9.1 We may modify, suspend or discontinue any part of the Service at any time. Where practicable, we will give you prior notice of material changes.

10. Disclaimer of warranties

10.1 The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose or non-infringement.

11. Limitation of liability

11.1 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service.

11.2 Our total liability to you for any claim arising under these Terms shall not exceed the greater of:

a) the amount you paid for the subscription during the twelve (12) months preceding the claim; or

b) one hundred (100) EUR.

12. Indemnification

12.1 You agree to defend, indemnify and hold harmless the Company and its affiliates from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

13. Governing law & jurisdiction

13.1 These Terms are governed by the laws of Poland, without regard to its conflict-of-law principles.

13.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Warsaw, Poland.

14. Changes to these terms

14.1 We may update these Terms from time to time. Material changes will be notified via email or the Platform at least 14 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Miscellaneous

15.1 Severability – If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

15.2 Assignment – You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights at any time.

15.3 Entire Agreement – These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.

16. Privacy & data protection

16.1 We process personal data in accordance with our Privacy Policy. By using the Service, you consent to such processing.

17. Force majure

17.1 Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control.
